ALLIANCE CREATIVE GROUP, INC. AMENDS IT’S ARTICLES OF INCORPORATION & IT’S CERTIFICATE OF DESIGNATION FOR SERIES G PREFERRED STOCK

CHICAGO, IL -- (SYMBOL: “ACGX”), September 18, 2019, Alliance Creative Group, Inc., a Nevada corporation (the “Company,” “we,” and “our”) announced that the Company amended both: the Company’s Articles of Incorporation and the Company’s Certificate of Designation of Preferences for the Company’s  Series G Preferred Stock, as follows:

 (A)     We amended the Company’s Articles of Incorporation to reduce the amount of our authorized Common Stock (par value $0.0001) to eight (8) million shares.

(B)     We amended the Company’s Certificate of Designation of Preferences for our Series G Preferred Stock (par value $0.0001) (the “Certificate”) so that, as amended, the  rights of the holders of the Series G Preferred Stock, are as follows:

  1. Section (c.) of the Certificate has been amended so that in the event of any Liquidation, the holders of each share of the Series G Preferred Stock are entitled to only one (1) share of the Company’s Common Stock;
  2. Section (d.) of the Certificate has been amended to reduce the conversion rights of the Series G Preferred Stock so that each share is convertible into one (1) share of the Company’s Common Stock;
  3. Section (e.) of the Certificate has been amended to reduce the voting rights of the Series G Preferred Stock so that each share is entitled to one (1) vote per share.

The amendments were duly approved and reflect the determination of our Board of Directors to undertake appropriate actions that may serve to support and build value for our Common Stockholders.

Overall, we believe that as a result of these actions and if circumstances and market conditions allow, we may be better able to create and sustain a stronger shareholder value proposition for the holders of our Common Stock. Historically we have followed a policy of reinvesting any profits that we generate to ensure that we add strength to our financial condition. We intend to continue this policy absent a dramatic change in our business. The two amendment actions cited above and our recent reverse stock split (that resulted in the Company reducing the number of Common Stock outstanding to around 600,000 shares) may serve to allow us to achieve and sustain a stronger trading market and a better stock trading level for our Common Stock assuming that our circumstances and market conditions allow. We are a small company and we face all the risks and uncertainties of a small business.

Alliance Creative Group (ACGX) Releases Shareholder Letter and Announces Reverse Stock Split

For Immediate Release: August 22, 2019

Chicago, IL –Alliance Creative Group, Inc., a Nevada corporation (the “Company”) (http://www.AllianceCreativeGroup.com) (Stock Symbol OTC: ACGX) announced the effectiveness of its reverse stock split (the “Reverse Split”).

Under the terms of the Reverse Split, for each four thousand (4,000) shares of the Company’s existing Common Stock (the “Old Shares”) will be exchanged for one (1) (new) share of the Company’s Common Stock (the “New Share”).  Fractional shares will be rounded up to the nearest whole number of shares.

The Reverse Split becomes effective as of the market open on August 23, 2019 and as a result the Company will have less than 600,000 common outstanding shares after the Reverse Split.

Net Income for the quarter ending June 30, 2019 (“Q2 2019”) were $9,425

The total outstanding common shares as of June 30, 2019 were 2,193,538,213 with 2,098,651,682 of those shares in the float.  No new shares have been issued in approximately 167 days.

Paul Sorkin, COO and General Counsel of the Alliance Creative Group, Inc., said, “During this quarter we continued to make significant progress with our transition away from our trucking business and increasing our future focus on fulfillment and packaging services.  Our revenues were down, as expected, mostly due to the reduced trucking services but our gross profit margin was up, our expenses are down, and our net income is up. We also continued to increase our assets while reducing our liabilities and increasing our shareholder equity.  Transitions take some time and we are frustrated with the delay with our audits but we are working with third parties to attempt to complete that process. In the meantime we are very pleased with our ability to substantially reduce our expenses and reducing our losses to turn things around to generate profits in 2019 after experiencing significant trucking losses in 2018.  Our main focus for the rest of 2019 will be to continue our transition and evaluate all our future options to become a more desirable Company for potential future lenders and/or investors. 2017 (“Q3 2017) or a decrease of $1,209,745 or 26.6% due to the discontinuation of the trucking services.

Paul Sorkin, COO and General Counsel of the Alliance Creative Group, said “We made extremely positive improvements this Quarter.  We continued to shift away from trucking by selling more trucks and reducing more expenses while focusing more on the company’s core packaging business.  We made significant financial improvements by increasing our gross profits by almost $140,000 and increasing the net incomes by almost $850,000 while reducing our expenses.  The revenues were down due to the discontinued trucking operations but the most important bottom line Net Income number set a quarterly record for us. We believe the changes we are making now will help position us to leverage synergistic opportunities as we increase our access to more capital to help increase our overall shareholder value.  The main goals right now are to finish the audits, reduce more expenses, increase profits, focus more on building up the core packaging business and supporting the execution of the PeopleVine business plan. We also believe that with all the recent excitement in the engagement software industry we believe PeopleVine is positioned well to continue to grow and help its clients engage their people while increasing its overall value as a company and as an investment for us.  We will continue to evaluate all of our options for a potential uplisting along with some different ways to raise capital to execute and expand our current and future business plans and we will update the public as we make more decisions.”

Mr. Sorkin is the C.O.O. and General Counsel for the Alliance Creative Group. He was the prior C.E.O and General Counsel for the Alliance Creative Group/ Invicta Group from June 2008 until December of 2011. From 2005 to 2008, Mr. Sorkin served as CEO and General Counsel at Image Worldwide/Nationwide where he was also the publisher of IMAGE magazine, from 1996 to 2004.

Mr. Sorkin served as Chief Operating Officer and General Counsel at S & B Collectibles where he helped the company grow from about 5 employees to over 250 employees and from about $1,000,000 in gross revenue to over $100,000,000 in gross revenue and was involved with getting new products on TV, in retail distribution and online. Mr. Sorkin holds a B.A. degree from the University of Illinois and a J.D. degree from Chicago Kent College of Law.

Mr. Kardasz got his start in the printing business in 1982 working as a feeder on a 40” six color press. He has worked in virtually every facet of printing and in 2002 he came to STL Graphics Group (Now part of Alliance Creative Group) with more than 20 years of prepress, pressroom, bindery, and sales experience. His broad range of printing experience has helped ACG improve overall operations and has made him a valuable resource for all our clients. Mr. Kardasz is currently Vice President of Sales.

With more than 25 years of experience in the field of corporate finance, Donna Hamilton’s diverse resume extends beyond that of the typical chief financial officer to include human resources, managing day to day operations and organizational reconstruction. As Alliance Creative Group's Controller and Director of Operations, Donna tracks the day to day financial activities of the three divisions and provides team leaders with expert financial advice, plans their yearly budgets and manages day-to-day operations.

Prior to joining us, Donna ran her own financial consulting firm DH Infinite Financial Solutions which specialized in cost reduction and budget planning for small to mid-size companies, where one of her largest clients was ProSource Financial, which she supported and spear headed the merger with Arthur J. Gallagher and Company.

Donna was also the CFO, VP of Finance and Partner at Slack Barshinger & Partners. While there, she headed up accounting, finance, human resources and operations and tracked the day-to-day financial activities of all clients and provided client team leaders with expert financial advice as they planned their yearly budgets with clients.

She also is quite the entrepreneur and owned her own franchise WineStyles Wine & Gifts.

Stephen began his career in direct mail when he should have been enjoying summer and holiday breaks during school. Who knew all that time on the mail shop floor would turn into a career? Fifteen years later, Stephen extended those summer vacations into a successful career in production, management, customer service, and sales in the direct mail industry. He’s worn all the hats. As the years passed Stephen was made a partner and eventually became soul owner. After selling his company 2006, Stephen began selling direct mail packages from conception through delivery. Today, he leverages all of that experience as a Production Manager creating solutions for clients at ACG.

Jordan Gilman
President and Chief Software Architect of PeopleVine

Mr. Gilman is the President and Chief Software Architect of the PeopleVine division of Alliance Creative Group, a platform that he originally founded. He brings over 20 years of experience as a software architect and programmer where 7 of those years were spent at Whirlpool Corporation in a variety of capacities; most recently as the Principal Design Lead for rolling out Whirlpool’s eCommerce throughout the globe.

He has helped many Fortune 500 companies deliver engaging and interactive experiences for their consumers in addition to helping Whirlpool launch several B2B sales channels online. Mr. Gilman has managed project budgets in upwards of $50,000,000 along with teams across 4 continents totaling 150+ team members. Although his forte is in eCommerce, Mr. Gilman has a wide capacity of knowledge in CRM, Marketing and Consumer Engagement which have helped him build the PeopleVine platform from the ground up. He holds a Bachelor of Science from Indiana University focusing on Information Systems and Computer Science.

He started St. Louis Packaging in 1997 and was the President of St. Louis Packaging, Inc. and StL Graphics Group. He is currently the C.E.O and Chairman of the board for the Alliance Creative Group.
